Welcome to Found Opportunity ("Service," "we," "us," or "our"). By accessing or using Found Opportunity at www.foundopportunity.com or through our applications, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Found Opportunity is an AI-powered email analysis platform that:

• Scans your connected email account(s) for business opportunities
• Identifies partnership proposals, sales leads, networking opportunities, and other relevant business communications
• Categorizes and prioritizes detected opportunities
• Presents opportunities through an organized dashboard interface

3. Eligibility

You must meet the following requirements to use the Service:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Have authorization to connect any email accounts you link to the Service

4. Account Registration and Security

4.1 Account Creation

• You must create an account to use the Service
• You must provide accurate, current, and complete information
• You are responsible for maintaining the accuracy of your account information
• One person or entity may maintain only one account

4.2 Account Security

• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• We are not liable for losses caused by unauthorized use of your account

4.3 Email Account Connection

• You must have authorization to connect any email account to the Service
• You grant us permission to access email content as described in our Privacy Policy
• You can revoke access at any time through your account settings
• Connecting work email accounts may require employer authorization

5. User Responsibilities and Acceptable Use

5.1 You Agree NOT To:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Connect email accounts you don't have authorization to access
• Attempt to reverse engineer or decompile the Service
• Use automated systems (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or servers
• Circumvent security features or access restrictions
• Transmit viruses, malware, or harmful code
• Impersonate others or misrepresent your affiliation
• Use the Service for spam or phishing
• Resell or redistribute the Service without authorization
• Use the Service to compete with us or build similar products

5.2 Compliance with Email Provider Terms

You must comply with the terms of service of your email provider (Google, Microsoft, etc.). Violation of their terms may result in loss of email access.

6. Intellectual Property Rights

• Found Opportunity owns all rights, title, and interest in the Service
• This includes software, algorithms, trademarks, logos, and content
• These Terms do not grant you ownership rights
• All rights not expressly granted are reserved

6.2 Your Data

• You retain ownership of your email content and data
• You grant us a limited license to process your data as described in our Privacy Policy
• We do not claim ownership of your emails or opportunities
• This license terminates when you delete data or close your account

6.3 Feedback

If you provide suggestions, ideas, or feedback, we may use them without compensation or attribution to you.

7. Fees and Payment

7.1 Subscription Plans

• Paid Plans: $59/month and above
• Pricing is available at www.foundopportunity.com

7.2 Payment Terms

• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method automatically
• Failure to pay may result in service suspension or termination
• You are responsible for all applicable taxes

7.3 Refunds

• Refunds are handled on a case-by-case basis
• No refunds for partial subscription periods
• Contact refunds@foundopportunity.com for refund requests

7.4 Price Changes

• We may change pricing with 30 days notice
• Changes take effect at your next renewal
• You may cancel before renewal to avoid price increases

8. Service Availability and Modifications

8.1 Service Availability

• We strive for high availability but do not guarantee uninterrupted service
• Service may be unavailable due to maintenance, updates, or technical issues
• We are not liable for service interruptions or downtime

8.2 Service Modifications

• We may modify, suspend, or discontinue features at any time
• We may implement usage limits or restrictions
• We are not liable for modifications or discontinuations
• Significant changes will be communicated via email or in-app notification

9. AI and Opportunity Detection

9.1 No Guarantee of Accuracy

• AI detection is not perfect and may miss opportunities or generate false positives
• We do not guarantee all opportunities will be detected
• We do not guarantee detected opportunities are legitimate or valuable
• You are responsible for independently verifying opportunities

9.2 No Business Advice

• The Service provides detection tools, not business or legal advice
• We do not endorse any detected opportunities
• You should consult professionals before acting on opportunities
• Business decisions are your sole responsibility

9.3 Third-Party AI Processing

• We use Anthropic's Claude AI for email analysis
• Email content is processed according to Anthropic's terms
• You acknowledge and accept this third-party processing

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, available at www.foundopportunity.com. By using the Service, you consent to our privacy practices.

11. Termination

11.1 Termination by You

• You may cancel your account at any time through account settings
• Cancellation takes effect at the end of your current billing period
• You may request immediate deletion of all data

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse the Service or harm other users

11.3 Effects of Termination

• Access to the Service will cease immediately
• Your data will be deleted according to our Privacy Policy
• You remain liable for any outstanding fees
• Provisions that should survive termination will continue to apply

12. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Non-infringement
• Accuracy, reliability, or completeness
• Error-free or uninterrupted operation
• Detection of all business opportunities

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUND OPPORTUNITY SHALL NOT BE LIABLE FOR:

• Missed business opportunities or lost profits
• Indirect, incidental, special, or consequential damages
• Loss of data, revenue, or business opportunities
• Damages resulting from unauthorized access to your account
• Third-party actions or content
• Errors or omissions in opportunity detection

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12.3 Third-Party Services

• We are not responsible for email provider (Google, Microsoft) service interruptions
• We are not liable for AI provider (Anthropic) errors or outages
• Third-party services are subject to their own terms

13. Indemnification

You agree to indemnify, defend, and hold harmless Found Opportunity, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your connection of unauthorized email accounts
• Your business decisions based on detected opportunities

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration in Wainscott, New York, under the rules of AAA ARBITRATION. You waive the right to participate in class action lawsuits.

14.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Found Opportunity.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

15.6 Notices

Legal notices must be sent to PO Box 727, Wainscott, NY 11975. Service notices will be sent to your registered email.

16. Changes to Terms

We may modify these Terms at any time. Changes are effective:

• Immediately upon posting for non-material changes
• 30 days after notice for material changes

Continued use after changes constitutes acceptance. If you don't agree, you must stop using the Service and cancel your account.

17. Export Control

You may not use the Service in violation of export control laws. You represent that you are not located in a country subject to embargo and are not on any prohibited party list.
